1. Agreement to Terms

By accessing or using the Disco platform, mobile applications, and website at disco.coffee (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Disco ("we," "our," or "us") provides a white-label mobile ordering platform for coffee shops and food-service businesses that use Square POS. These Terms apply to both merchants who operate through our platform and end-user customers who place orders through merchant apps powered by Disco.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use this Service. Merchant accounts require a valid Square POS account and an active business in good standing.

3. Merchant Accounts

When you register for a merchant account, you agree to provide accurate and complete information and to keep that information up-to-date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

As a merchant, you are solely responsible for the products and services you offer through your Disco-powered app, including menu accuracy, pricing, food safety, and order fulfillment.

4. Subscription and Payment

Merchant access to the Service requires a paid subscription. Subscription fees are billed monthly or annually as selected during registration. All fees are non-refundable except as required by applicable law.

We reserve the right to change subscription pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Reproduce, modify, distribute, or create derivative works of the Service without our express permission
  • Use the Service to transmit harmful code, spam, or fraudulent content

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Disco and are protected by copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you ownership of any content, code, data, or materials you access.

Merchants retain ownership of their brand assets (logos, colors, images) uploaded to the platform. By uploading content, you grant Disco a non-exclusive license to use that content solely for the purpose of providing the Service.

7. Third-Party Services

The Service integrates with third-party services including Square POS, Apple App Store, Google Play Store, and Stripe. Your use of these third-party services is governed by their respective terms and conditions. We are not responsible for the availability, accuracy, or policies of third-party services.

8. Limitation of Liability

To the maximum extent permitted by law, Disco shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in subscription fees during the twelve (12) months preceding the claim.

9. Termination

You may cancel your subscription at any time through your account settings. We may terminate or suspend your account immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users or the Service.

Upon termination, your right to use the Service will cease immediately. Any published mobile apps will be removed from app stores within a reasonable timeframe.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Disco operates, without regard to its conflict of law provisions.

12. Changes to Terms

We may revise these Terms at any time by posting the updated version on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms. For material changes, we will provide notice via email or through the Service.
